1. Acceptance of These Terms

The Classroom Exchange ("TCE", "we", "us") is an online marketplace where educators buy and sell digital teaching resources. By creating an account, browsing, purchasing, or listing resources on theclassroomexchange.ca, you agree to these Terms of Service. If you do not agree, please do not use the site.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these terms.

3. Our Role as a Marketplace

TCE is a platform that connects independent sellers with buyers. Sellers are responsible for the resources they list, including their accuracy, quality, and legality. We do not author or endorse seller content, though we may review, moderate, or remove listings at our discretion.

4. Fees and Payments

All payments are processed securely by Stripe. When a resource sells, The Classroom Exchange retains a 20% platform fee on the sale price. Stripe charges a payment processing fee of 2.9% + $0.30 CAD per credit card transaction for domestic (Canadian) cards, plus an additional 0.8% for international cards. Processing fees are deducted before seller payouts.

Seller payouts are handled through Stripe Connect. To receive payouts, sellers must complete Stripe onboarding and comply with the Stripe Connected Account Agreement. Fee rates may change; we will post updated rates on this page before they take effect.

5. Licence for Purchased Resources

When you purchase a resource, you receive a non-exclusive, non-transferable licence to use it for your own personal classroom or teaching practice. You may print and copy the resource for your own students.

You may not resell, redistribute, share, publicly post, or claim authorship of purchased resources, in whole or in part. The seller retains all copyright and intellectual property rights in their work.

6. Seller Obligations

By listing a resource, you confirm that you created it or otherwise hold the rights to sell it, and that it does not infringe any third party’s copyright, trademark, or other rights. You grant TCE a licence to display, market, and deliver your resource to buyers through the platform.

Sellers are independent contractors, not employees or agents of TCE, and are responsible for reporting and remitting any taxes that apply to their earnings.

7. Prohibited Conduct

You may not upload content that is unlawful, infringing, harmful, or misleading; attempt to circumvent platform fees by completing sales off-platform after connecting through TCE; scrape or bulk-download content; interfere with the operation or security of the site; or misrepresent your identity or affiliation.

8. Refunds

Because resources are digital downloads delivered immediately, all sales are generally final. If a resource is materially misdescribed, corrupted, or undeliverable, contact us within 30 days of purchase and we will review the issue and may issue a refund at our discretion.

9. Copyright Complaints

If you believe a listing infringes your copyright, email us with a description of the work, the URL of the listing, and your contact information. We will investigate and remove infringing content where appropriate, and may terminate the accounts of repeat infringers.

10. Disclaimers and Limitation of Liability

The site and all resources are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, TCE is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, and our total liability for any claim is limited to the amount you paid to us in the twelve months before the claim arose.

11. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these terms. Sections concerning licences, intellectual property, disclaimers, and limitation of liability survive termination.

12. Changes to These Terms

We may update these terms from time to time. The "Last updated" date above reflects the current version. Continued use of the site after changes take effect constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Ontario.
